All consulting engagements are governed by a separate Statement of Work (SOW) or engagement agreement, which shall take precedence over these general Terms and Conditions in the event of any conflict.

All content on this Website, including text, graphics, logos, and design elements, is the property of Delta Edge Solutions or its content suppliers and is protected by applicable intellectual property laws. Work products delivered to clients under a consulting engagement are governed by the intellectual property provisions of the applicable engagement agreement. In the absence of a specific agreement, Delta Edge Solutions retains ownership of all methodologies, frameworks, and general intellectual property developed during an engagement, while the client retains ownership of the specific deliverables paid for.

Both parties agree to maintain the confidentiality of all proprietary and sensitive information shared during the course of an engagement. Delta Edge Solutions will not disclose client information to third parties without prior written consent, except as required by law or as necessary to deliver the agreed services. Case studies and portfolio references shared on this Website have been anonymized or shared with explicit client permission.

Payment terms for consulting engagements are specified in the applicable engagement agreement or Statement of Work. Generally: • Invoices are payable within 14 days of issue unless otherwise agreed. • Delta Edge Solutions reserves the right to suspend services in the event of non-payment beyond 30 days. • All fees are exclusive of applicable taxes unless stated otherwise. • Refund policies are specified in the applicable engagement agreement.

To the maximum extent permitted by applicable law, Delta Edge Solutions shall not be liable for: • Indirect, incidental, special, or consequential damages arising from the use of our services. • Loss of profits, data, business opportunity, or goodwill. • Any damages exceeding the fees paid to Delta Edge Solutions in the 12 months preceding the claim. Nothing in these terms shall limit our liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

Delta Edge Solutions warrants that: • Services will be performed with reasonable skill, care, and diligence. • Deliverables will materially conform to the specifications agreed in the applicable engagement agreement. The Website is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
